This Repurchase Agreement (the Agreement) is effective [DATE]. The Vendor hereby sells conveys and transfers the Equipment to the Purchaser and the Purchaser in specific reliance on each and every representation and warranty of the Vendor herein contained hereby purchases the Equipment from the Vendor for a total purchase price (the Purchase Price) of [AMOUNT] payable as hereinafter set forth. The Purchase Price is payable in full concurrently with the execution of this Agreement and shall be paid by the Purchaser by certified cheque or bank draught issued by a [COUNTRY] chartered bank in the amount of [AMOUNT] [CURRENCY] and deposited to [NOTARY] in trust. The Vendor and the Purchaser hereby designate [NOTARY] as the mandatory designated to receive and disburse the Purchase Price in accordance with the provisions of the [CODE/LAW/RULE] of [COUNTRY/STATE/PROVINCE] regarding the sale of Equipment (bulk sale).
